Legal Disclosures and Terms of Use

Please read these legal disclosures and terms of use before using this site.

This site and all related domains – including, but not limited to, actorsequity.org and members.actorsequity.org – are owned by Actors' Equity Association ("Equity" or "the Association"). Your use of this site constitutes your agreement to these terms of use. If you do not agree to these terms of use, please do not use this web site. We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these terms at any time. Please check these terms periodically for changes. By continuing to use www.actorsequity.org following the posting of changes to these terms, you signify your acceptance of the conditions of these terms of use.

Equity is a non-profit, non-commercial organization, and this site is a non-commercial web site or online service. Any personal information provided to Equity is not used for commercial purposes. If you are an unemancipated minor under 18 years of age, you may not use this site or post anything to this site, and any personal information supplied to us must be supplied by a parent or guardian.

Changes to this Site: Equity may add or change the content of the Site at any time and any additions or changes shall be automatically deemed covered by these Terms. Equity may terminate or suspend the Site or your access to the Site, in whole or in part, at any time. No such actions shall be deemed a breach or violation of this Agreement by Equity. Equity shall not be obligated to provide individual notice to you of any changes to the Site unless otherwise required by law.

Posting User Content: You are responsible for everything you post or transmit to or through the Site, including in the Member Portal section of the site (“User Content”). User Content shall include all information and materials posted on or through the Site under your user ID. You agree to update all User Content to keep it current and accurate at all times. To the extent that you post or transmit User Content through the Equity Website, that information may not  private and may be accessed and viewed by others, in certain circumstances. Please refer to Equity’s Privacy Policy for more information. In the event that you submit user content which is available to third parties, Equity is not responsible for how third parties may use such information. When using the Site, we recommend that you not disclose your Equity membership identification number, home address, home telephone number or other personal information you may not want generally disclosed, except within Equity’s secure, encrypted Member Portal.

You agree not to upload, download, display, perform, transmit, or otherwise distribute any content that (a) is libelous, defamatory, obscene, pornographic, abusive, threatening, or otherwise inappropriate for the Site’s users; (b) advocates or encourages conduct that could constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national or foreign law or regulation; (c) advertises or otherwise solicits funds or is a solicitation for goods or services; or (d) infringes on the copyright, trademark, right of publicity or other intellectual property rights of others. Equity reserves the right to suspend or terminate your receipt, transmission or other distribution of any such material using the Site, and, if applicable, to delete any such material from its servers. Equity may, in its discretion, suspend or terminate your account for any violation of these Terms. It is Equity’s policy, in its discretion, to disable and/or terminate the accounts of users who may infringe or repeatedly infringe the copyrights or other intellectual property rights of others. Equity further reserves the right to suspend or terminate your access to some or all of the Site if you fail to timely pay your Equity dues or if you are no longer a member of Equity in good standing. Equity intends to cooperate fully with any law enforcement officials or agencies in the investigation of any violation of these Terms or of any applicable laws.

Passwords and User IDs: You are responsible for maintaining the confidentiality of any user identification, password and account information for the Site. You may not share your user identification or password with anyone and you may not allow any others to use your account. You are responsible for all activities that occur under your user identification, password or account. You agree to notify Equity immediately of any unauthorized use of your account, user identification or password. Equity shall not be liable for any loss that you incur as a result of someone else using your account or password, either with or without your knowledge or consent. You may be held liable for any losses incurred by Equity, its affiliates, officers, directors, employees, consultants, agents, members and representatives due to someone else’s use of your account or password.

Restrictions: You agree that you shall not:

a. interrupt or disrupt or attempt to interrupt or disrupt the Site in any way or prevent or impede any other party’s access to the Site;

b. provide false or misleading information about yourself or others on or through the Site;

c. post any User Content on or through the Site that contains or delivers any form of viruses, trojan horses or any other form of malicious or harmful program;

d. modify or change or attempt to modify or change any aspect of the Site;

e. collect or store personal data about other users on the Site;

f. violate or attempt to violate any security features of the Site, including, without limitation, accessing content or data not intended for you, or logging onto a server or account that you are not authorized to access;

g. attempt to probe, scan or test the vulnerability of the Site, or any associated system or network, or to breach security or authentication measures without proper authorization;

h. interfere or attempt to interfere with service to any user, host or network, including, without limitation, by means of submitting a virus to the Site, overloading, "flooding," "spamming," "mail bombing" or "crashing;"

i. use the Site to send unsolicited e-mail, including, without limitation, promotions, or advertisements for products or services;

j. forge any TCP/IP packet header or any part of the header information in any e-mail or in any posting using the Site; or

k. attempt to modify, reverse-engineer, decompile, disassemble or otherwise reduce or attempt to reduce to a human-perceivable form any of the source code used by Equity in providing the Site.

Any violation of system or network security may subject you to civil and/or criminal liability.

Links to Third Party Sites: The Site contains links to third party sites and online services, such as Facebook, Twitter, and Instagram (“Linked Sites”). Your dealings with such Linked Sites, including issues such as payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the owners and operators of the Linked Sites. You shall abide by all of the terms and conditions related to your dealings with the Linked Sites. You release Equity from any responsibility or liability for your use of or access to the Linked Sites. Your use of and access to the Linked Sites is at your own risk. Equity shall not be responsible or liable in any manner for the results of your dealings with the Linked Sites or for the accuracy, currency, content or quality of the information provided by such sites, and shall not have liability for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers or others on the Site. Linked Sites have no authority to bind or obligate Equity in any manner whatsoever. Equity generally does not screen or investigate the content or information contained in Linked Sites or their products, services or policies. Unless expressly stated, Equity does not endorse, sponsor or recommend any such other parties or their sites or the information contained on such sites.

Equity Access to User Content: Equity has the right to access all User Content you post on the Site and to monitor your activities on the Site. Equity may remove any User Content that Equity deems in violation of this Agreement or that it deems to violate Equity policy in effect from time to time. Equity has no obligation to review or reject any User Content and Equity shall not, as a regular matter, review, edit, censor or otherwise maintain any supervisory role with regard to its users’ activities or posted materials.

Copies and Disclosures: Equity has the right to store and make copies of the User Content and to make some or all of the User Content available to others on the Site or by disclosure to third parties, subject to these Terms and Equity’s privacy policy. Equity shall have the right, but not the obligation, to include your name, initials, email address or other information about you in any uses of the User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the terms of this agreement; (c) respond to claims that any User Content violates the rights of other parties; or (d) protect the rights, property or personal safety of Equity, the Site, the users of the Site and the public.

OWNERSHIP AND REPRODUCTION OF ACTORS' EQUITY ASSOCIATION MATERIALS

The name of the Association, the Association’s logo, and the Gypsy Robe name and trademark are the intellectual property of Equity.

All photographs, information, materials, copyrights, trademarks, service marks, intellectual property and other content, including graphics and texts contained on this web site (collectively, the “Materials”) are owned by Actors' Equity Association or its related organizations or its contributors or are used by permission of the copyright owner. This web site contains original works of authorship that are the proprietary property of Equity and/or its contributors, and which are protected under US and international copyright laws.

The Materials may not be copied, reproduced, republished, uploaded, posted, transmitted or distributed, in whole or in part, for any purpose other than individual viewing of this web site or the printing of one copy of each publicly accessible web page for your personal and non-commercial use, without the express prior written consent of Equity. Modification of the Equity Materials for any purpose will constitute a violation of the copyrights and other rights of Equity. The use of any Equity Materials on any other web site or networked computer environment is prohibited unless approved in writing by Equity.

Rights in User Content: Equity does not claim ownership in any User Content. However, with respect to any User Content, you hereby grant to Equity, and Equity’s successors, assigns, agents and licensees, a non-exclusive, worldwide, irrevocable, perpetual, fully paid license to use, copy, display, post, repost, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, reformat, make compilations, data bases, derivative and other versions of the User Content, including, but not limited to, incorporating the User Content into other works. You will not be compensated for any User Contents or for your activities on the Site. You agree that Equity may publish or otherwise disclose your name in connection with your User Content, subject to Equity’s privacy policy. By posting User Content on or through the Site, you warrant and represent that you own the rights to the User Content or are otherwise authorized to post, distribute, display, perform, transmit or otherwise distribute User Content.

Transfer Right: Equity shall have the right to sell, assign and otherwise transfer any or all of its rights in this Agreement and the Site to any other party including but not limited to parties owned and controlled by or related to Equity.

FORMAT AND APPEARANCE

The Materials included in this site have been specially designed for presentation of content in a unique format and appearance. Users may not use this site in any manner that interferes with the format and appearance as Equity has designed it.

LINKING TO ACTORSEQUITY.ORG

Equity does not object to links made to the actorsequity.org site, or any portion thereof provided certain guidelines are followed.

  • (a) Notification. Equity requests that it be notified prior to the establishment of a link from any external web site to http://www.actorsequity.org. Notification shall be sent to the Equity Communications Department at blorenz@actorsequity.org.
  • (b) Plain Text Links. You may link to Equity's website using the plain text name of "Actors' Equity Association" or "Equity" or the site. Unless Equity specifically agrees in writing, you may not use any of Equity's names, logos, designs, images, photographs, slogans, product trademarks or servicemarks in or with the links.
  • (c) No Endorsements. You may not link to any part of Equity's site in a manner that suggests Equity has a relationship or affiliation with the party’s site or endorses, sponsors or recommends the site or the information, products or services on that site. Unless Equity specifically agrees in writing, you may not use any of Equity's names, logos, designs, images, photographs, slogans, product trademarks or servicemarks in any advertising, publicity, promotion or in any other commercial manner.
  • (d) Unless Equity specifically agrees in writing, no part of this site or its content may be incorporated into another site (e.g., by in-lining or framing). In addition, none of Equity's names, logos, designs, images, photographs, slogans, product trademarks, servicemarks, or any other words or codes identifying Equity's web site should be used in any META tag or other information used by search engines or other information location tools to identify and select sites.
  • (e) Due to content updates, it is recommended that any links to Equity's website be only to the home page of www.actorsequity.org.
  • (f) Disclaimer. Equity, whether affiliated or not affiliated with sites linked to this site ("Linked Sites"), is not responsible for their content. The Linked Sites are for the convenience of the user only, and may be accessed by the user only at the user's own risk.

THE SITE AND ALL OF THE COMPONENTS OF THE SITE, INCLUDING, BUT NOT LIMITED TO, ANY LINKS AND ADVERTISING, ARE PROVIDED ON AN “AS IS” BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND WHETHER AS TO USE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE. Equity reserves the right to revise, amend or modify this policy and our other policies and agreements at any time and in any manner, without notice. In the event of any revision, amendment or modification that substantially alters the terms of this agreement, notice will be posted on the Site.

The information contained in this website and database is provided for general information purposes only and does not constitute legal advice. We try to provide quality information that is as accurate and up-to-date as possible, but we make no claims, promises or guarantees about the accuracy, completeness or adequacy of the information contained in or linked to this web site and database. As legal advice must be tailored to the specific circumstances of each case and laws are constantly changing, nothing provided herein should be used as a substitute for the advice of competent counsel. Equity may add to or change the provisions of this Agreement by posting such changes on the Site but without any individual notice to you except as may be required by applicable law. This Agreement shall be governed by the laws of the United States and the state of New York, without regard to conflict of laws provisions. Any action at law or in equity arising out of or relating to this website or these terms shall be filed only in the state or federal courts in and for New York, New York. You expressly consent to personal jurisdiction in such state and in such court. In any action under this Agreement, the prevailing party shall be entitled to attorneys’ fees and court costs.

Equity makes no representation that the content of this website is available or appropriate for use in other locations. Any party who uses this website from other locations is responsible for compliance with applicable local laws.

If any term or provision of this Agreement is for any reason held to be invalid, such invalidity shall not affect any other term or provision, and this Agreement shall be interpreted as if such term or provision had never been contained in this Agreement. No failure of Equity to exercise or enforce any right or provision contained herein shall constitute a waiver of that right or provision. All of the provisions of this Agreement shall survive the termination of this Agreement for any reason.

This Agreement contains the entire understanding of Equity and you with respect to its subject matter.

The effective date for these terms is June 21, 2018.
